Common use of Non-conflict with other obligations Clause in Contracts

Non-conflict with other obligations. The entry into and performance by it of, and the transactions contemplated by, this Agreement do not and will not conflict with: (a) any law or regulation applicable to it; (b) its constitutional documents; or (c) any agreement or instrument binding upon it or any of its subsidiaries or any of its assets.

The entry into and performance by it of, and the transactions contemplated by, of this Agreement do not and will does not conflict with: (a) any law or regulation applicable to it, except with respect to any conflict that would not materially impair its ability to perform its obligations under this Agreement; (b) its constitutional documents; or (c) any agreement or instrument binding upon it or any of its subsidiaries or assets, except with respect to any of conflict that would not materially impair its assetsability to perform its obligations under this Agreement.
