Common use of Non-conflict Clause in Contracts

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, the Transaction Documents to which it is a party do not conflict in any material respect with: (a) any law or regulation applicable to it; (b) its constitutional documents; or (c) any agreement or instrument which is binding upon it or any of its assets.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, the Transaction Finance Documents to which it is a party do not conflict in any material respect with: (a) any law or regulation applicable to it; (b) its or any of its Subsidiaries’ constitutional documents; or (c) any agreement or instrument document which is binding upon it or any of its Subsidiaries or any of its or its Subsidiaries’ assets.

Non-conflict. The entry into and performance by it of, each of the Obligors of the Finance Documents and the transactions contemplated by, the Transaction Documents to which it is a party do party, and the transactions contemplated herein and therein, do, in the opinion of any of the Obligors, not and will not conflict in any material respect with: (a) any law articles of association or regulation applicable to it;other constitutional documents of any of the Obligors; and (b) its constitutional documents; or (c) any document or agreement or instrument which is binding upon it the Obligors, or any of its their assets.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, the Transaction Documents to which it is a party do not conflict in any material respect with: (a) any law or regulation applicable to it; (b) its constitutional documentsdocuments or the constitutional documents of any other member of the Group; or (c) any agreement or instrument document which is binding upon it or any other member of the Group or any of its assetsassets or the assets of any other member of the Group to an extent or in a manner which has or could reasonably be expected to have a Material Adverse Effect.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, the Transaction Documents to which it is a party do not conflict in any material respect withthis Agreement does not: (a) conflict with any law or regulation Applicable Law applicable to it or any order of any Government Body or any judgment, order or decree of any court having jurisdiction over it;; or (b) conflict with its By-Laws or constitutional documentsdocuments (as applicable); or (c) conflict with any agreement or instrument document which is binding upon it or any of its assets.

The entry into and performance by it of, and the transactions contemplated by, the Transaction Documents to which it is a party do not conflict in any material respect with: (a) any law or regulation applicable to it; (b) its constitutional documents; or (c) any agreement or instrument which is binding upon it or any of its assets.

The entry into and performance by it of, and each of the transactions contemplated by, Obligors of the Transaction Documents to which it is a party party, and the transactions contemplated thereby, do not and will not conflict in any material respect with: (ai) any present law or regulation applicable to itor judicial or official order; (bii) its articles of association, by-laws or other constitutional documents; or (ciii) any document or agreement or instrument which is binding upon it or on any of its assetsthe Obligors.

Non-conflict. with other obligations The entry into and performance by it of, and the transactions contemplated by, the Transaction Documents to which it is a party do not and will not conflict in any material respect with: (a) any law or regulation applicable to it; (b) its constitutional documents; or (c) any agreement or instrument which is binding upon it or any of its assets.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, the Transaction Documents to which it is a party do not conflict in any material respect with: (a) any law or regulation applicable to it; (b) its or any of its Subsidiaries’ constitutional documents; or (c) any agreement or instrument document which is binding upon it or any of its Subsidiaries or any of its or its Subsidiaries’ assets.

The entry into and performance by it and the Offeror of, and the transactions contemplated by, the Transaction Documents to which it is they are a party Party do not conflict in any material respect withnot: (a) 18.9.1 conflict with any law or regulation applicable or judicial or official order binding on them (with respect to it;the Acquisition Documents, only in relation to a conflict which would or could be reasonably expected to be materially prejudicial to the interests of the Finance Parties taken as a whole); or (b) its 18.9.2 conflict with their constitutional documents; or (c) 18.9.3 conflict with any agreement or instrument document which is binding upon it them or any of its assetsthe Material Subsidiaries.

The entry into and performance by it of, and the transactions Transactions contemplated by, the Transaction Documents to which it is a party this Agreement do not conflict in any material respect withand will not: (a) any law or regulation applicable to it; (b) conflict with its constitutional documents; or (cb) conflict with any agreement or instrument document which is binding upon it or any of its assets.

The entry into and performance by it ofinto, and the transactions contemplated by, the Transaction relevant Issue Documents to which it is a party do not and will not contravene or conflict in with any material respect with: (a) Applicable Law, any law or regulation applicable to it; (b) its constitutional documents; or (c) any agreement or instrument document which is binding upon it or any of its assets.

Non-conflict. The entry into and performance by it an Obligor of, and the transactions contemplated by, the Transaction Finance Documents to which it or he is a party do not conflict in any material respect with: (a) any law or regulation applicable to itit or him; (b) in the case of the Issuer, its or any of its Subsidiaries' constitutional documents; or; (c) any agreement or instrument document which is binding upon it or him or its or his material assets; or (d) in the case of the Issuer, any document which is binding upon any of its Subsidiaries or its Subsidiaries' assets. .

Non-conflict. The entry into and performance by it Seller of, and the transactions contemplated by, the Transaction Documents to which it is a party do not conflict in any material respect withnot: (a) i. conflict with any law or regulation applicable to itor judicial or official order which is binding upon it or any of its assets; (b) ii. conflict with its constitutional documentsOrganizational Documents; or (c) iii. conflict with any agreement or instrument document which is binding upon it or any of its assets.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, the Transaction Finance Documents to which it is a party and the Related Contracts do not and will not conflict in any material respect with: (a) any law or regulation applicable to itor judicial or official order binding on any member of the Group which is in force as at the date of this Agreement; (b) its the constitutional documentsdocuments of any member of the Group; or (c) any agreement or instrument document which is binding upon it any member of the Group or any asset of its assetsany member of the Group.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, the Transaction Facility Documents to which it is a or will be party do not conflict in any material respect withand will not: (a) conflict with any law or regulation applicable to it;it so as to have a Material Adverse Effect; or (b) conflict with its constitutional documents; or (c) conflict, with any agreement or instrument document which is binding upon it or any of its assetsassets breach to the extent or in a manner that such conflict would have a Material Adverse Effect.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement and the Transaction Transfer Documents to which it is a party do not and will not conflict in any material respect with: (a) any law or regulation applicable to it;; or (b) its constitutional documents; or (c) any agreement or instrument which is binding upon it or any of its assets.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, the Transaction Documents to which it is a party do not conflict in any material respect withand will not: (a) conflict with any applicable law or regulation applicable to it;or judicial or official order; or (b) its conflict with the constitutional documentsdocuments of any Obligor; or (c) conflict with any agreement or instrument document which is binding upon it any Obligor or any asset of its assetsany Obligor.
