Common use of Non-conflict Clause in Contracts

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement do not and will not conflict with: (a) any law or regulation applicable to it; or (b) conflict with its or any of its Subsidiaries' constitutional documents; or (c) conflict with any document which is binding on it or any of its Subsidiaries or any of its or its Subsidiaries' assets.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement do not and will not conflict with: (a) 10.5.1 any law or regulation applicable to it; or (b) conflict with 10.5.2 its or any of its Subsidiaries' constitutional documents; or (c) conflict with 10.5.3 any document which is binding on upon it or any of its Subsidiaries or any of its or its Subsidiaries' assets.

Non-conflict. The entry into and performance by it of, of this Agreement and the other Financing Documents and the transactions contemplated by, this Agreement hereby do not and will not conflict with: : (ai) Applicable Law as of the date hereof; or (ii) the Memorandum or Articles of Association of the Borrower, (iii) any law or regulation borrowing limit applicable to itthe Borrower; or or (biv) conflict with its any agreement or document including any of its Subsidiaries' constitutional documents; or (c) conflict with any document mortgage, trust deed, arrangement, obligation or duty to which the Borrower is binding on a party to or by which it or any of its Subsidiaries or any of its or its Subsidiaries' assetsmay be bound.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement do does not and will not conflict withnot: (a) conflict with any law or regulation or judicial or official order which is normally applicable to itthe Borrower in transaction of the type contemplated in this Agreement; or (b) conflict with its or Articles of Incorporation and any of its Subsidiaries' other constitutional documents, if any; or (c) conflict with any material document which is binding on upon it or any of its Subsidiaries or any of its or its Subsidiaries' material assets.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement do not and will not conflict with: (a) any law or regulation or judicial or official order applicable to it; orit as at the date of this Agreement; (b) conflict with its or the constitutional documents of any member of its Subsidiaries' constitutional documentsthe Group; or (c) conflict with any document which is binding on it or any member of its Subsidiaries the Group or any assets of its or its Subsidiaries' assetsany member of the Group.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement do not and will not conflict with: (a) any law or regulation applicable to it; or; (b) conflict with its or any of its Subsidiaries' constitutional documents; or (c) conflict with any document which is binding on upon it or any of its Subsidiaries or any of its or its Subsidiaries' assets.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement do not and will not conflict with: (a) 3.4.1 any law or regulation applicable to it; or (b) conflict with 3.4.2 its or any of its Subsidiaries' constitutional documents; or (c) conflict with 3.4.3 any document which is binding on it or any of its Subsidiaries or any of its or its Subsidiaries' assets.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement do not and will not conflict with: (a) any law or regulation applicable to it; or (b) conflict with its or any of its Subsidiaries' constitutional documents; or (c) conflict with any document which is binding on upon it or any of its Subsidiaries assets or constitute a default or termination event (however described) under any of its or its Subsidiaries' assetsdocument in each case in a manner which has a Material Adverse Effect.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement do not and will not conflict with: (a) any law or regulation applicable to it; or (b) conflict with its or any of its Subsidiaries' ’ constitutional documents; or (c) conflict with any document which is binding on it or any of its Subsidiaries or any of its or its Subsidiaries' ’ assets.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement and the other Finance Documents do not and will not conflict with: (a) any law or regulation applicable to it; or (b) conflict with its or any of its Subsidiaries' constitutional documents; or (c) conflict with any document agreement or instrument which is binding on it or any of its Subsidiaries or any of its or its Subsidiaries' assets.

Non-conflict. The entry into and performance by it the Company of, and the transactions contemplated by, this Agreement do not and will not conflict with: (a) any law law, regulation or regulation judicial order applicable to it; or; (b) conflict with its or any of its Subsidiaries' constitutional documents; or (c) conflict with any document which is binding on upon it or any of its Subsidiaries or any of its or its Subsidiaries' assets.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement do not and will not conflict with: (a) any law or regulation regulatory requirement applicable to it; or; (b) conflict with its or any of its Subsidiaries' constitutional documents; or (c) conflict with any document which is agreement or instrument binding on upon it or any of its Subsidiaries or any of its or its Subsidiaries' assets.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement do not and will not conflict with: (a) any law or regulation applicable to it; or (b) conflict with its or any of its Subsidiaries' constitutional documents; or (c) conflict with any document which is binding on it or any of its Subsidiaries or any of its or its Subsidiaries' assets.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement do not and will not conflict with: (a) with any law or regulation applicable to it; or (b) it in any material respect, conflict with its Constitutional Documents or any of its Subsidiaries' constitutional documents; or (c) conflict with any document which is binding on upon it or any of its Subsidiaries assets or constitute a default or termination event (however described) under any of its or its Subsidiaries' assetssuch document.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement do does not and will not conflict withnot: (a) conflict with any law or regulation or judicial or official order which is normally applicable to it; orthe Borrower in transaction of the type contemplated in this Agreement; (b) conflict with its or Articles of Incorporation and any of its Subsidiaries' other constitutional documents, if any; or (c) conflict with any material document which is binding on upon it or any of its Subsidiaries or any of its or its Subsidiaries' material assets.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, of this Agreement do not and will not conflict with: (a) 8.3.1 any law or regulation applicable to it; orit or to which its assets are subject; (b) conflict with 8.3.2 its or any of its Subsidiaries' constitutional documents; or (c) conflict with 8.3.3 any document which is agreement or instrument binding on upon it or any of its Subsidiaries or any of its or its Subsidiaries' assets, or constitute a default or termination event (howsoever described) under any such agreement or instrument.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement do not and will not conflict with: (a) any law or regulation applicable to it; or (b) conflict with its or any of its Subsidiaries' constitutional documents; or (c) conflict with any document which is binding on it or any of its Subsidiaries or any of its or its Subsidiaries' assets.

Non-conflict. The entry into and performance by it of, and the transactions contemplated by, this Agreement do not and will not conflict with: (a) in any material respect, any law or regulation applicable to it; or (b) conflict with in any material respect, its or any of its Subsidiaries' constitutional documents; or (c) conflict with any document agreement or instrument to which it is a party or is binding on it or any of its Subsidiaries assets or binding upon any other member of the Group or any other member of its the Group’s assets, where such conflict would or its Subsidiaries' assetsis reasonably likely to have a Material Adverse Effect.

Non-conflict. The the entry into and performance by it of, and the transactions contemplated by, this Agreement and the other Transaction Documents to which it is a party do not and will not conflict withnot: (ai) conflict with any law laws, rules or regulation applicable to regulations binding on it; (ii) conflict with the constitutional documents of Lessor or WFB; or (b) conflict with its or any of its Subsidiaries' constitutional documents; or (ciii) conflict with any indenture, mortgage, contract or other document which is binding on upon it or any of its Subsidiaries or any of its or its Subsidiaries' assets.;
