Non Deadlock Transfer Provisions. If either Member (the “Transferring Member”) wishes to Transfer, subject to satisfaction of all conditions in this Article, all (but not less than all) of its Membership Interest, the other Member (the “Non Transferring Member”) will have a right to purchase that Membership Interest, or portion thereof, in accordance with the following:
