Common use of Non-Disclosure Agreements Clause in Contracts

Non-Disclosure Agreements. To the extent that any third-party proprietor of information or software to be disclosed or made available to a Recipient in connection with performance of the Services requires a specific form of non-disclosure agreement as a condition of such third party’s consent to use the same for the benefit of the Recipient or to permit the Recipient access to such information or software, each Party shall, or shall cause its relevant Affiliate to, as a condition to the receipt of such portion of the Services, execute (and shall cause its Personnel to execute, if reasonably required) any such form.

To the extent that any third-third party proprietor of information or software to be disclosed or made available to a Recipient in connection with performance of the Transition Services requires a specific form of non-disclosure agreement as a an express condition of such third party’s consent to use the same for the benefit of the Recipient or to permit the Recipient access to such information or software, each Party shall, or Recipient shall cause its relevant Affiliate to, as a condition have the right to negotiate the receipt terms of such portion of the Services, non-disclosure agreement and shall promptly execute (and shall cause its Personnel to promptly execute, if reasonably required) any such formnon-disclosure agreement as negotiated or agreed with the third party on an as-needed basis.
