Common use of Non-Disclosure of Payments Clause in Contracts

Non-Disclosure of Payments. Except as expressly required by applicable law, including applicable rules and regulations of any securities exchange on which the Company’s securities are then listed for trading, neither party shall disclose any payments under this Agreement unless prior approval of the other party is obtained. If any payment information must be disclosed, the Company shall afford the Indemnitee a reasonable opportunity to review all such disclosures and, if requested, to explain in such statement any mitigating circumstances regarding the events to be reported.
