Common use of Non-Disclosure of Terms Clause in Contracts

Non-Disclosure of Terms. Each Party agrees not to disclose to any third party the terms of this Agreement (including without limitation all Exhibits) without the prior written consent of the other Party, except to such Party’s attorneys, advisors, investors, potential investors, and others on a need to know basis under circumstances that reasonably ensure the confidentiality thereof, or in connection with financing activities, securities filings, mergers, acquisitions, or the like.

Each Party Subject to Section 5.1 below, each of the Parties agrees not to disclose to any third party the terms of this Agreement (including without limitation all Exhibits) to any Third Party without the prior written consent of the other Party, which consent shall not be unreasonably withheld, except to such Party’s attorneys, advisors, investors, potential investors, investors and others on a need to know basis under circumstances that reasonably ensure the confidentiality thereof, or in connection with financing activities, securities filings, mergers, acquisitions, or to the likeextent required by law (as determined by the disclosing Party’s legal counsel).
