Non-Disparagement by the Employer. The Employer agrees that it shall direct its officers and directors not to disparage or encourage others to disparage Executive. For purposes of this Section 8.4, the term “disparage” includes, without limitation, comments or statements to the press, or to any individual or entity with whom Executive has a business or personal relationship (including, without limitation, any vendor, supplier, customer or distributor of the Employer) that are made with gross negligence or the intent to cause harm and would adversely affect the business reputation of Executive.
