Common use of Non-Disparagement Clause in Contracts

Non-Disparagement. The Executive acknowledges and agrees that the Executive will not defame or criticize the services, business, integrity, veracity, or personal or professional reputation of the Company or any of its directors, officers, employees, affiliates, or agents of any of the foregoing in either a professional or personal manner either during the term of the Executive’s employment or thereafter.

Non-Disparagement. The Executive acknowledges and agrees that Executive shall not disparage, criticize or defame the Executive will not defame or criticize the servicesCompany, businessits affiliates and their respective affiliates, integrity, veracity, or personal or professional reputation of the Company or any of its directors, officers, agents, partners, stockholders or employees, affiliateseither publicly or privately. The Company agrees that it shall not, and it shall instruct its officers and members of its Board to not, disparage, criticize or agents of defame Executive, either publicly or privately. Nothing in this Section 12(b) shall have application to any of the foregoing in either a professional evidence or personal manner either during the term of the Executive’s employment testimony required by any court, arbitrator or thereaftergovernment agency.

The Executive acknowledges agrees not to publicly criticize, denigrate or disparage the Company, its past and agrees that the Executive will not defame or criticize the services, business, integrity, veracity, or personal or professional reputation of the Company or any of its directors, officers, employeespresent direct and indirect subsidiaries, affiliates, successors, assigns and all of their past and present employees, officers and directors. The Executive acknowledges and agrees that the Executive will not malign, defame or criticize disparage the servicesreputation, businesscharacter, integrityimage, veracityproducts or services of the Company, or personal the reputation or professional reputation character of the Company or any of its Company’s directors, officers, employeesemployees or agents, affiliatesprovided that nothing in this Section 3(d) shall be construed to limit or restrict Executive from taking any action that Executive in good faith reasonably believes is necessary to fulfill Executive’s fiduciary obligations to the Company, or agents of from providing truthful information in connection with any of the foregoing in either a professional legal proceeding, government investigation or personal manner either during the term of the Executive’s employment or thereafterother legal matter.

Non-Disparagement. The Executive acknowledges and agrees that the both during and after his employment with Company, Executive will not defame disparage, denigrate, or criticize the services, business, integrity, veracity, or personal or professional reputation of the Company or any of its directorsmanagement personnel or members of the Board, officerswhether or not such activity has its purpose or outcome, employees, affiliatesthe interference or competition with, or agents the reduction, interruption, disruption, or obstruction of, the conduct of any of the foregoing in either a professional or personal manner either during the term of the ExecutiveCompany’s employment or thereafterbusinesses.

Non-Disparagement.
