Non-Disturbance. If Lender agrees that, subject to the terms and conditions of this Agreement, if any action or proceeding is commenced by Lender or at Lender's behest for the foreclosure of the Security Instrument Deed of Trust or the sale of the PropertyProperty or other realization under the Loan Documents, whether by foreclosure, deed in lieu of foreclosure, power of sale, or in any other proceedings made or brought to enforce the rights of Lender, or by any successor to Lender, Tenant shall not be named as a party therein (unless such joinder shall be required by law, provided, however, such joinder shall not result in law to properly foreclose upon the termination Deed of the Lease or disturb the Tenant’s possession or use of the premises demised thereunderTrust), and the sale of the Property in any such action or EXHIBIT "J" proceeding and the exercise by Lender of any such action or proceeding and at the time of its other rights under the Note or the Security Instrument Deed of Trust shall be made subject to all rights of Tenant under the Lease, provided that at the time of the commencement of any such action or proceeding or and at the time of any such sale or exercise of any such other rights (a) the term of the Lease shall have commenced pursuant to the provisions thereofrights, (b) Tenant shall be in possession of the premises demised under the Lease, (c) the Lease shall be in full force and effect and (d) Tenant shall not be declared in default beyond any applicable default, and no event shall have occurred which with the giving of notice and cure period or passage of time or both could result in a default, under any of the terms, covenants or conditions of the Lease or of this Agreement on Tenant’s 's part to be observed or performed.

Non-Disturbance. If any action or proceeding is commenced by Lender for the foreclosure of the Security Instrument or the sale of the Property, Tenant shall not be named as a party therein unless such joinder shall be required by law, provided, however, such joinder shall not result in the termination of the Lease or disturb the Tenant’s possession or use of the premises demised thereunderthereunder in accordance with the terms of the Lease. In addition, and in the event of the sale or foreclosure of the Property in any such action or proceeding and or the exercise Building D by Lender of any of its other rights under the Note Loan Documents, Purchaser (as defined below) shall (a) not terminate or disturb Tenant’s quiet enjoyment or possession of Tenant’s premises under the Lease or any other rights under the Lease, except in accordance with the terms of the Lease, and (b) be bound to Tenant under all terms and conditions of the Lease and the Security Instrument or the other Loan Documents shall be made subject to all rights of Tenant under the Lease, provided that at the time of the commencement of any such action or proceeding or at the time of any such sale sale, foreclosure or exercise of any such other rights remedy by Lender (a) the term of the Lease shall have commenced pursuant to the provisions thereof, (b) Tenant shall be in possession of the premises demised under the Lease, (c) the Lease shall be in full force and effect and (db) Tenant shall not be in an Event of Default (as defined in the Lease) or in default beyond any applicable notice and cure period under any of the terms, covenants or conditions of the Lease or of this Agreement on Tenant’s part to be observed or performed.
