Common use of Non-Diversion of Business Opportunity Clause in Contracts

Non-Diversion of Business Opportunity. During the Executive’s employment with the Companies and consistent with the Executive’s duties and fiduciary obligations to the Companies, the Executive shall (i) disclose to the Companies any business opportunity that comes to the Executive’s attention during the Executive’s employment with the Companies and that relates to the business of the Companies or otherwise arises as a result of the Executive’s employment with the Companies, and (ii) not take advantage of or otherwise divert any such opportunity for the Executive’s own benefit or that of any other person or entity without prior written consent of the Companies.

During the Executive’s employment with the Companies Employers and consistent with the Executive’s duties and fiduciary obligations to the CompaniesEmployers, the Executive shall (i) disclose to the Companies Employers any business opportunity that comes to the Executive’s attention during the Executive’s employment with the Companies Employers and that relates to the business of the Companies Employers or otherwise arises as a result of the Executive’s employment with the Companies, Employers and (ii) not take advantage of or otherwise divert any such opportunity for the Executive’s own benefit or that of any other person or entity without prior written consent of the CompaniesEmployers.
