Non-Exhaustive. This MOU sets out the basic terms of the proposed collaboration and is not intended to be exhaustive. The Institutions understand and agree that this MOU does not address all matters upon which agreement must be reached in order for the contemplated transactions to be consummated.
Non-Exhaustive. The availability of contractual penalty referred to in Article 12.2 (a) above do not exclude nor restrict the entitlement of the aggrieved Party to claim actual damage suffered thereby as a result of breach of any duty under this Agreement by the other Party.
