That Seller shall have delivered, to the extent required, to Escrow Holder, for delivery to Buyer, an affidavit or qualifying statement satisfying the requirements of Section 1445 of the Internal Revenue Code of 1986, as amended, and the regulations thereunder (“Non-Foreign Affidavit”).
