Non-Foreign Certification. A certification duly executed by each Seller ("FIRPTA Certificate"), setting forth such Seller's address and federal tax identification number and certifying that such Seller is a "United States Person" and that such Seller is not a "foreign person" in accordance with Sections 7701 and 1445 of the Internal Revenue Code of 1986, as amended, and any regulations promulgated thereunder.
