Common use of Non-Global Security to Non-Global Security Clause in Contracts

Non-Global Security to Non-Global Security. A Security that is not a Global Security may be transferred, in whole or in part, to a Person who takes delivery in the form of another Security that is not a Global Security as provided in Section 305(a), provided that, if the Security to be transferred in whole or in part is a Restricted Security, then the Security Registrar shall have received a Restricted Securities Certificate, satisfactory to the Security Registrar and the Trustee and duly executed by the transferor Holder of his attorney duly authorized in writing, in which case the transferee Holder shall take delivery in the form of a Restricted Security (subject in every case to Section 305(c)).

Non-Global Security to Non-Global Security. A Security that is not a Global Security may be transferred, in whole or in part, part to a Person who takes delivery in the form of another Security that is not a Global Security as provided in Section 305(a), provided provided, that, if the Security to be transferred in whole or in part is a Restricted Security, then the Security Registrar Trustee shall have received a Restricted Securities Certificate, satisfactory to the Security Registrar and the Trustee and duly executed by the transferor Holder of or his attorney duly authorized in writing, in which case the transferee Transferee Holder shall take delivery in the form of a Restricted Security (subject in every case to Section 305(c)).

A Debt Security that is not a Global Security may be transferred, in whole or in part, to a Person who takes delivery in the form of another Debt Security that is not a Global Security as provided in Section 305(a3.05(a), provided that, if the Debt Security to be transferred in whole or in part is a Restricted Security, then the Security Registrar shall have received a Restricted Securities Certificate, satisfactory to the Security Registrar and the Trustee and duly executed by the transferor Holder of or his attorney duly authorized in writing, in which case the transferee Holder shall take delivery in the form of a Restricted Security (subject in every case to Section 305(c3.05(c)).
