Common use of Non-Infringement by Third Parties Clause in Contracts

Non-Infringement by Third Parties. To the Knowledge of the Company, there is no unauthorized use, unauthorized disclosure, infringement or misappropriation of any Company-Owned IP Rights, by any third party. As of the Agreement Date, the Company has not instituted, or provided any final notice with the intention to institute, any Legal Proceedings for infringement or misappropriation of any Company-Owned IP Rights.

As of the Agreement Datedate hereof, none of the Company Acquired Companies has not instituted, or provided any final notice with the intention to institute, instituted any Legal Proceedings for infringement infringement, misappropriation or misappropriation other violation of any Company-Owned IP Rights.

Non-Infringement by Third Parties. To the Knowledge of the Company, there currently is no unauthorized use, unauthorized disclosure, infringement or misappropriation of any Company-Owned IP Rights, by any Company Group Member or Affiliated Practice, including former employees and current or former consultants of the foregoing, or to the Knowledge of the Company by any third party. As of the Agreement Date, the No Company Group Member or Affiliated Practice has not instituted, or provided any final notice with the intention to institute, instituted any Legal Proceedings in the Relevant Period for infringement or misappropriation of any Company-Owned IP Rights.
