Common use of Non-Infringement Clause in Contracts

Non-Infringement. (i) the Specifications for each of the Products are its or its Affiliate’s property and that Client may lawfully disclose the Specifications to Patheon; (ii) any Client Intellectual Property, used by Patheon in performing the Manufacturing Services according to the Specifications (A) is Client’s or its Affiliate’s unencumbered property, (B) may be lawfully used as directed by Client, and (C) does not infringe and will not infringe any Third Party Rights; (iii) the performance of the Manufacturing Services by Patheon for any Product under this Agreement or any Product Agreement or the use or other disposition of any Product by Patheon as may be required to perform its obligations under this Agreement or under any Product Agreement does not and will not infringe any Third Party Rights; (iv) there are no actions or other legal proceedings, concerning the infringement of Third Party Rights related to any of the Specifications, or any of the Active Materials and the Components, or the sale, use, or other disposition of any Product made in accordance with the Specifications;

Non-Infringement. (i) the Specifications for each of the Products are its or its Affiliate’s 's property and that Client may lawfully disclose the Specifications to Patheon; (ii) any Client Intellectual Property, used by Patheon in performing the Manufacturing Services according to the Specifications (A) is Client’s owned or controlled by Client or its Affiliate’s unencumbered property, (B) may be lawfully used as directed by Client, and (C) to its knowledge does not infringe and will not infringe any Third Party Rights; (iii) to the knowledge of Client, the performance of the Manufacturing Services by Patheon for any the Product under this Agreement or any Product Agreement or the use or other disposition of any the Product by Patheon as may be required to perform its obligations under this Agreement or under any Product Agreement does not and will not infringe any Third Party Rights; (iv) to the knowledge of Client, there are no actions or other legal proceedings, concerning proceedings involving the Client that concerns the infringement of Third Party Rights related to any of the Specifications, or any of the Active Materials and the Components, or the sale, use, or other disposition of any Product made in accordance with the Specifications;

Non-Infringement. (i) the Specifications for each of the Products are its or its Affiliate’s 's property and that Client may lawfully disclose the Specifications to Patheon; (ii) any Client Intellectual Property, used by Patheon in performing the Manufacturing Services according to the Specifications (A) is Client’s or its Affiliate’s 's unencumbered property, (B) may be lawfully used as directed by Client, and (C) to the knowledge of Client does not infringe and will not infringe any Third Party Rights; (iii) the performance of the Manufacturing Services by Patheon for any Product under this Agreement or any Product Agreement or the use or other disposition of any Product by Patheon as may be required to perform its obligations under this Agreement or under any Product Agreement Agreement, to the knowledge of Client, does not and will not infringe any Third Party Rights; (iv) there are no actions or other legal proceedingsproceedings against Client, concerning the infringement of Third Party Rights related to any of the Specifications, or any of the Active Materials and the Components, or the sale, use, or other disposition of any Product made in accordance with the Specifications;

Non-Infringement. (i) the Specifications for each of the Products are its or its Affiliate’s property and that Client may lawfully disclose the Specifications to Patheon; (ii) any Client Intellectual Property, used by Patheon in performing the Manufacturing Services according to the Specifications (A) is Client’s Clients or its Affiliate’s Affiliates unencumbered property, (B) may be lawfully used as directed by Client, and (C) to the knowledge of Client, does not infringe and will not infringe any Third Party Rights; (iii) to the knowledge of Client, the performance of the Manufacturing Services by Patheon for any Product under this Agreement or any Product Agreement or the use or other disposition of any Product by Patheon as may be required to perform its obligations under this Agreement or under any Product Agreement does not and will not infringe any Third Party Rights; (iv) there are no actions or other legal proceedings, concerning the infringement of Third Party Rights related to any of the Specifications, or any of the Active Materials and the Components, or the sale, use, or other disposition of any Product made in accordance with the Specifications;

Non-Infringement. (i) the Specifications for each of the Products are its or its Affiliate’s 's property and that Client may lawfully disclose the Specifications to Patheon; (ii) any Client Intellectual Property, used by Patheon in performing the Manufacturing Services according to the Specifications (A) is Client’s or its Affiliate’s unencumbered property's property or Client or its Affiliate otherwise has a right to use such Client Intellectual Property, and (B) may be lawfully used as directed by to the knowledge of Client, and (C) does not infringe and will not infringe any Third Party Rights; (iii) the performance of the Manufacturing Services by Patheon for any Product under this Agreement or any Product Agreement or the use or other disposition of any Product by Patheon as may be required to perform its obligations under this Agreement or under any Product Agreement does not and will not knowingly infringe any Third Party Rights; (iv) there are no actions or other legal proceedings, concerning proceedings involving the Client that concerns the infringement of Third Party Rights related to any of the Specifications, or any of the Active Materials and the Components, or the sale, use, or other disposition of any Product made in accordance with the Specifications;

Non-Infringement. To Indivior’s knowledge: (i) the Specifications for each of the Products are its or its Affiliate’s 's property and that Client Indivior may lawfully disclose the Specifications to Patheon; (ii) any Client Indivior Intellectual Property, used by Patheon in performing the Manufacturing Services according to the Specifications (A) is ClientIndivior’s or its Affiliate’s 's unencumbered property, (B) may be lawfully used as directed by ClientXxxxxxxx, and (C) does not infringe and will not infringe any Third Party Rights; (iii) the performance of the Manufacturing Services by Patheon for any Product under this Agreement or any Product Agreement or the use or other disposition of any Product by Patheon as may be required to perform its obligations under this Agreement or under any Product Agreement does not and will not infringe any Third Party Rights;. (iv) there are no actions or other legal proceedings, concerning proceedings involving Indivior that concerns the infringement of Third Party Rights related to any of the Specifications, or any of the Active Materials and the Components, or the sale, use, or other disposition of any Product made in accordance with the Specifications;

Non-Infringement. (i) the Specifications for each of the Products are its or its Affiliate’s 's property and that Client may lawfully disclose the Specifications to Patheon; (ii) any Client Intellectual Property, used by Patheon in performing the Manufacturing Services according to the Specifications (A) is Client’s or its Affiliate’s 's unencumbered property, (B) may be lawfully used as directed by Client, and (C) to the knowledge of Client, does not infringe and will not infringe any Third Party Rights; (iii) to the knowledge of Client, the performance of the Manufacturing Services by Patheon for any Product under this Agreement or any Product Agreement or the use or other disposition of any Product by Patheon as may be required to perform its obligations under this Agreement or under any Product Agreement does not and will not infringe any Third Party Rights; (iv) there are no actions or other legal proceedings, concerning the infringement of Third Party Rights related to any of the Specifications, or any of the Active Materials and the Components, or the sale, use, or other disposition of any Product made in accordance with the Specifications;

Non-Infringement. (i) the Specifications for each of the Products are its or its Affiliate’s property and that Client may lawfully disclose the Specifications to Patheon;; *** Confidential Treatment Requested (ii) any Client Intellectual Property, used by Patheon in performing the Manufacturing Services according to the Specifications (A) is Client’s or its Affiliate’s unencumbered property, (B) may be lawfully used as directed by Client, and (C) does not infringe and will not infringe any Third Party Rights; (iii) the performance of the Manufacturing Services by Patheon for any Product under this Agreement or any Product Agreement or the use or other disposition of any Product by Patheon as may be required to perform its obligations under this Agreement or under any Product Agreement does not and will not infringe any Third Party Rights; (iv) there are no actions or other legal proceedings, concerning proceedings involving Client that concerns the infringement of Third Party Rights related to any of the Specifications, or any of the Active Materials and the Components, or the sale, use, or other disposition of any Product made in accordance with the Specifications;

Non-Infringement. (i) the Specifications for each of the Products are its or its Affiliate’s property and that Client may lawfully disclose the Specifications to Patheon; (ii) any Client Intellectual Property, Property used by Patheon in performing the Manufacturing Services according to the Specifications is (A) is Client’s owned or controlled by Client or its Affiliate’s unencumbered propertyAffiliates, (B) may be lawfully used as directed by Client, and (C) to its knowledge does not infringe and will not infringe any Third Party Rights; (iii) to the knowledge of Client, the performance of the Manufacturing Services by Patheon for any Product under this Agreement or any Product Agreement or the use or other disposition of any Product by Patheon as may be required to perform its obligations under this Agreement or under any Product Agreement does not and will not infringe any Third Party Rights; (iv) to the knowledge of Client, there are no actions or other legal proceedings, concerning the infringement of Third Party Rights related to any of the Specifications, or any of the Active Materials and the Components, or the sale, use, or other disposition of any Product made in accordance with the Specifications;

Non-Infringement. (i) the Specifications for each of the Products are its or its Affiliate’s 's property and that Client may lawfully disclose the Specifications to Patheon; (ii) any Client Intellectual Property, used by Patheon in performing the Manufacturing Services according to the Specifications (A) is Client’s 's or its Affiliate’s Afflllate's unencumbered property, (B) may be lawfully used as directed by Client, and (C) does not infringe and will not infringe any Third Party Rights; (iii) the performance of the Manufacturing Services by Patheon for any Product under this Agreement or any Product Agreement or the use or other disposition of any Product by Patheon as may be required to perform its obligations under this Agreement or under any Product Agreement does not and will not infringe any Third Party Rights; (iv) to the best of Its knowledge, there are no actions or other legal proceedings, proceedings concerning the infringement of Third Party Rights related to any of the Specifications, or any of the Active Materials and the Components, or the sale, use, use or other disposition of any Product made in accordance with the Specifications;.

Non-Infringement. (i) the Specifications for each of the Products are its or its Affiliate’s 's property and that Client may lawfully disclose the Specifications to Patheon; (ii) any Client Intellectual Property, used by Patheon in performing the Manufacturing Services according to the Specifications (A) is Client’s Clients or its Affiliate’s Affiliates unencumbered property, (B) may be lawfully used as directed by Client, and (C) to the knowledge of Client, does not infringe and will not infringe any Third Party Rights; (iii) to the knowledge of Client, the performance of the Manufacturing Services by Patheon for any Product under this Agreement or any Product Agreement or the use or other disposition of any Product by Patheon as may be required to perform its obligations under this Agreement or under any Product Agreement does not and will not infringe any Third Party Rights; (iv) there are no actions or other legal proceedings, concerning the infringement of Third Party Rights related to any of the Specifications, or any of the Active Materials and the Components, or the sale, use, or other disposition of any Product made in accordance with the Specifications;

Non-Infringement. (i) it or its Affiliate owns or licenses the Specifications for each of the Products are its or its Affiliate’s property and that Client may lawfully disclose the Specifications to Patheon; (ii) any Client Intellectual Property, used by Patheon in performing the Manufacturing Services according to the Specifications (A) is Client’s or its Affiliate’s ’s, unencumbered property, property and (B) may be lawfully received, processed and used as directed by Client, Client in accordance with this Agreement and (C) such use does not infringe and will not infringe any Third Party Rights; (iii) the performance of the Manufacturing Services by Patheon for any Product under this Agreement or any Product Agreement or the use or other disposition of any Product by Patheon as may be required to perform its obligations under in accordance with this Agreement or under and any Product Agreement Agreement, does not and will not infringe any Third Party Rights; (iv) there are no actions or other legal proceedings, concerning proceedings involving Client that concern the infringement of Third Party Rights related to any of the Specifications, or its Products, its formula, or, so far as Client is aware, related to any of the Active Materials and the and/or any Client Supplied Components, or the sale, use, or other disposition of any Product made in accordance with the Specifications;
