Common use of Non-Operated Properties Clause in Contracts

Non-Operated Properties. If Seller is not the operator of a particular portion of the Assets, the obligations of Seller in Section 8.1 above with respect to such portion of the Assets, which have reference to operations or activities which pursuant to existing contracts are carried out or performed by the operator, shall be construed to require only that Seller use commercially reasonable efforts (without being obligated to incur any expense (unless Buyer has agreed to reimburse Seller therefor) or institute any cause of action) to cause the operator of such portion of the Assets to take such actions or render such performance within the constraints of the applicable operating agreements and other applicable agreements.

If Seller is not the operator of a particular portion of the Assets, the obligations of Seller in Section 8.1 above with respect to such portion of the Assets, which have reference to operations or activities which that pursuant to existing contracts are carried out or performed by the operator, shall be construed to require only that Seller vote its interests under the applicable joint operating agreement or other Contract in a manner consistent with Section 8.1 and use its commercially reasonable efforts (without being obligated to incur any expense (unless Buyer has agreed to reimburse Seller therefor) or institute any cause of action) to cause the operator of such portion of the Assets to take such actions or render such performance within the constraints of the applicable operating agreements and other applicable agreements.

Non-Operated Properties. If To the extent that Seller is not the operator of a particular any portion of the AssetsProperty, the obligations of Seller in Section 8.1 above with respect to such portion of the Assets, which have reference to 12.1 concerning operations or activities which that normally, or pursuant to existing contracts Contracts are carried out or performed by the operator, shall be construed to require only that Seller use commercially all reasonable efforts (without being obligated to incur any expense (unless Buyer has agreed to reimburse Seller therefor) or institute any cause of action) to cause the operator of such portion of the Assets Property to take such actions or render such performance within the constraints of the applicable operating agreements and or other applicable agreementsContracts.
