Non-Petition. The Underwriter Underwriters hereby agrees agree not to cause or participate in the filing of a petition in bankruptcy against the Company for the non-payment to the Underwriter Underwriters of any amounts provided by this Agreement or otherwise until one year and one day after the payment in full of all amounts due on the Certificates in accordance with the terms of the Pooling Agreement. If the foregoing is in accordance with your understanding of our agreement, please sign this Agreement and return it a counterpart hereof to us, whereupon this letter shall constitute a binding agreement between each of the Underwriters and the Company.
