Non-recoupable License Fee Sample Clauses
A Non-recoupable License Fee is a payment made by a licensee to a licensor that is not recoverable or deductible from future royalties or other payments. In practice, this means that the licensee pays a set fee upfront or at specified intervals, regardless of the commercial success or revenue generated by the licensed product or service. For example, a software company might pay a non-recoupable fee to use patented technology, and this fee remains due even if the software does not generate expected sales. The core function of this clause is to guarantee the licensor a minimum, non-refundable income from the licensing arrangement, thereby allocating financial risk to the licensee and providing the licensor with immediate compensation.
