Non-Responsive Customers. The Parties agree that, where an Assignment Consent is required in connection with the transactions contemplated by this Agreement with respect to any Bundled Customer Contract, and the applicable Customer (i) refuses to agree to an Assignment Consent or (ii) ceases responding to requests for an Assignment Consent for a period of three (3) months, Seller may seek to terminate or allow the expiration of the portion of such Bundled Customer Contract related to the Business, in accordance with the Implementation Schedule.
