Common use of Non-Solicitation; Non-Interference Clause in Contracts

Non-Solicitation; Non-Interference. During the Term and for a period of one year following the termination of the Executive’s employment for any reason, the Executive agrees that he/she will not, directly or indirectly, for the Executive’s benefit or for the benefit of any other person or entity, do any of the following: (1) solicit from any customer doing business with the Group during the Term business of the same or of a similar nature to the Business; (2) solicit from any known potential customer of the Group business of the same or of a similar nature to that which has been the subject of a known written or oral bid, offer or proposal by the Group, or of substantial preparation with a view to making such a bid, proposal or offer; (3) solicit the employment or services of, or hire or engage, any person who is known to be employed or engaged by the Group; or (4) otherwise interfere with the business or accounts of the Group, including, but not limited to, with respect to any relationship or agreement between the Group and any vendor or supplier.

During the Term Employment Period and for a period of one year following the termination of the Executive’s employment for any reason, the Executive agrees that he/he or she will not, directly or indirectly, for the Executive’s benefit or for the benefit of any other person or entity, do any of the following: (1) solicit from any customer doing business with the Group during the Term business of the same or of a similar nature to the Business; (2) solicit from any known potential customer of the Group business of the same or of a similar nature to that which has been the subject of a known written or oral bid, offer or proposal by the Group, or of substantial preparation with a view to making such a bid, proposal or offer; (3) solicit the employment or services of, or hire or engage, any person who is known to be employed or engaged by the Group; or (4) otherwise interfere with the business or accounts of the Group, including, but not limited to, with respect to any relationship or agreement between the Group and any vendor or supplier.

During the Term and for a period of one year following the termination of the Executive’s employment for any reason, the Executive agrees that he/she will not, directly or indirectly, for the Executive’s benefit or for the benefit of any other person or entity, do any of the following: (1) solicit from any customer or business partner doing business with the Group during the Term business of the same or of a similar nature to the Business; (2) solicit from any known potential customer of the Group business of the same or of a similar nature to that which has been the subject of a known written or oral bid, offer or proposal by the Group, or of substantial preparation with a view to making such a bid, proposal or offer; (3) solicit the employment or services of, or hire or engage, any person who is known to be employed or engaged by the Group; or (4) otherwise interfere with the business or accounts of the Group, including, but not limited to, with respect to any relationship or agreement between the Group and any vendor or supplier.

During the Term and for a period of one year six (6) months following the termination of the Executive’s employment for any reason, the Executive agrees that he/she will not, directly or indirectly, for the Executive’s benefit or for the benefit of any other person or entity, do any of the following: (1) solicit or seek to solicit from any customer doing business with the Group during the Term business of the same or of a similar nature to the Businessbusiness of the Group; (2) solicit or seek to solicit from any known potential customer of the Group business of the same or of a similar nature to that which which, whether or not has been the subject of a known written or oral bid, offer or proposal by the Group, or of substantial preparation with a view to making such a bid, proposal or offer; (3) solicit or seek to solicit the employment or services of, or hire or engage, any person who is known to be employed or engaged by the Group; or (4) otherwise interfere with the business or accounts of the Group, including, but not limited to, with respect to any relationship or agreement between the Group and any customer, vendor or supplier.

During the Term and for a period of one year following the termination of the Executive’s employment for any reasonRestrictive Period, the Executive agrees that he/she will not, directly or indirectly, for the Executive’s benefit or for the benefit of any other person or entity, do any of the following: (1a) solicit or seek to solicit from any customer partner doing business with the Group during the Term business of the same or of a similar nature to the Businessbusiness of the Group; (2b) solicit or seek to solicit from any known potential customer partner of the Group business of the same or of a similar nature to that which which, whether or not has been the subject of a known written or oral bid, offer or proposal by the Group, or of substantial preparation with a view to making such a bid, proposal or offer; (3c) solicit or seek to solicit the employment or services of, or hire or engage, any person who is known to be employed or engaged by the Group; (d) assume employment with or provide services to any competitors of the Group, or engage, whether as principal, partner, consultant or otherwise, any of the Group’s competitors, without the Group’s prior written consent; or (4e) otherwise interfere with the business or accounts of the Group, including, but not limited to, with respect to any relationship or agreement between the Group and any vendor or supplierof its partners.

During the Term and for a period of one year following the termination of the Executive’s employment for any reason, the Executive agrees that he/she will not, directly or indirectly, for the Executive’s benefit or for the benefit of any other person or entity, do any of the following: (1) solicit from any customer or business partners doing business with the Group during the Term business of the same or of a similar nature to the Business; (2) solicit from any known potential customer of the Group business of the same or of a similar nature to that which has been the subject of a known written or oral bid, offer or proposal by the Group, or of substantial preparation with a view to making such a bid, proposal or offer; (3) solicit the employment or services of, or hire or engage, any person who is known to be employed or engaged by the Group; or (4) otherwise interfere with the business or accounts of the Group, including, but not limited to, with respect to any relationship or agreement between the Group and any vendor or supplier.

During the Term and for a period of one year following the termination of the Executive’s employment for any reason, the Executive agrees that he/she will not, directly or indirectly, for the Executive’s benefit or for the benefit of any other person or entity, do any of the following: (1) solicit from any customer client doing business with the Group during the Term business of the same or of a similar nature to the Business; (2) solicit from any known potential customer client of the Group business of the same or of a similar nature to that which has been the subject of a known written or oral bid, offer or proposal by the Group, or of substantial preparation with a view to making such a bid, proposal or offer; (3) solicit the employment or services of, or hire or engage, any person who is known to be employed or engaged by the Group; or (4) otherwise interfere with the business or accounts of the Group, including, but not limited to, with respect to any relationship or agreement between the Group and any supplier or vendor or supplierpartner.

Non-Solicitation; Non-Interference. During Executive agrees that, in order to avoid conflicts of interests, for the Term and for a period of one year twelve (12) months following the termination of the Executive’s employment for any reason, the Executive agrees that he/she Consulting Period he will not, directly or indirectly, for the Executive’s benefit or for the benefit of any other person person, firm or entity, do any of the following: (1a) solicit from any customer doing business with the Group during the Term Company as of Executive’s Separation Date, business of the same or of a similar nature to the Businessbusiness of the Company; (2b) solicit from any known potential customer of the Group Company business of the same or of a similar nature to that which has been the subject of a known written or oral bid, offer or proposal by the Group, or of substantial preparation with a view to making such a bid, proposal or offerCompany; (3c) solicit the employment or services of, or hire or engage, any person who is was known to be employed or engaged by the GroupCompany as of the Separation Date; or (4d) otherwise interfere with the business or accounts of the GroupCompany, including, but not limited to, with respect to any relationship or agreement between the Group Company and any customer, vendor or supplier.

Non-Solicitation; Non-Interference. During the Term and for a period of one year following the termination of the Executive’s employment for any reason, the Executive agrees that he/she will not, directly or indirectly, for the Executive’s benefit or for the benefit of any other person or entity, do any of the following: (1) solicit from any customer customer, supplier or service provider doing business with the Group during the Term business of the same or of a similar nature to the Business; (2) solicit from any known potential customer customer, supplier or service provider of the Group business of the same or of a similar nature to that which has been the subject of a known written or oral bid, offer or proposal by the Group, or of substantial preparation with a view to making such a bid, proposal or offer; (3) solicit the employment or services of, or hire or engage, any person who is known to be employed or engaged by the Group; or (4) otherwise interfere with the business or accounts of the Group, including, but not limited to, with respect to any relationship or agreement between the Group and any vendor or supplier.

Non-Solicitation; Non-Interference. During the Term and for a period of one year not more than two years (as to be determined by the Company) following the termination of the Executive’s employment for any reason, the Executive agrees that he/he or she will not, directly or indirectly, for the Executive’s benefit or for the benefit of any other person or entity, do any of the following: (1) solicit from any customer doing business with the Group during the Term business of the same or of a similar nature to the Business; (2) solicit from any known potential customer of the Group business of the same or of a similar nature to that which has been the subject of a known written or oral bid, offer or proposal by the Group, or of substantial preparation with a view to making such a bid, proposal or offer; (3) solicit the employment or services of, or hire or engage, any person who is known to be employed or engaged by an employee of the Group; or (4) otherwise interfere with the business or accounts of the Group, including, but not limited to, with respect to any relationship or agreement between the Group and any vendor or supplier.

During the Term and for a period of one year following the termination of the Executive’s employment for any reason, the Executive agrees that he/she will not, directly or indirectly, for the Executive’s benefit or for the benefit of any other person or entity, do any of the following: (1) solicit from any customer or business partner doing business with the Group during the Term business of the same or of a similar nature to the Business; (2) solicit from any known potential customer or business partner of the Group business of the same or of a similar nature to that which has been the subject of a known written or oral bid, offer or proposal by the Group, or of substantial preparation with a view to making such a bid, proposal or offer; (3) solicit the employment or services of, or hire or engage, any person who is known to be employed or engaged by the Group; or (4) otherwise interfere with the business or accounts of the Group, including, but not limited to, with respect to any relationship or agreement between the Group and any vendor customer, supplier, vendor, supplier or supplierbusiness partner.
