Common use of Non-Solicitation of Company Employees Clause in Contracts

Non-Solicitation of Company Employees. i. Employee understands and agrees that the relationship between the Company and each of its employees constitutes a valuable asset of the Company and may not be converted to Employee’s own use or benefit, or for the use or benefit of any other third party. Accordingly, Employee hereby agrees that during Employee’s employment and during the Restricted Period, Employee shall not, without the Company’s prior written consent, directly or indirectly, (A) solicit or recruit for employment; hire; attempt to solicit or recruit for employment; attempt to hire; or accept as an employee, consultant, contractor, or otherwise, any Company employee, or (B) urge; encourage; induce; or attempt to urge, encourage, or induce, any Company employee to terminate his or her employment with Company; or (C) otherwise interfere with the Company’s relationship with any Company employee. Notwithstanding the foregoing, the provisions of this Paragraph 8.B(i) shall not apply from and after a Change in Control. ii. Employee agrees that in the event Employee, without the Company’s prior written consent, directly or indirectly, (A) solicits or recruits for employment; hires; attempts to solicit or recruit for employment; attempts to hire; or accepts as an employee, consultant, contractor, or otherwise, any Company employee, or (B) urges; encourages; induces; or attempts to urge, encourage, or induce, any Company employee to terminate his or her employment with Company; or (C) otherwise interferes with the Company’s relationship with any Company employee during the Concluding Compensation Period, the Company shall be entitled to terminate any compensation, benefits, and/or remaining payments of the Termination Compensation otherwise payable to Employee under this Agreement and Employee forfeits such Termination Compensation. Notwithstanding the foregoing, the provisions of this Paragraph 8.B(ii) shall not apply from and after a Change in Control.

Notwithstanding the foregoing, the provisions of this Paragraph 8.B(ii) shall not apply from and after a Change in Control.be

Accordingly, Employee hereby agrees that during Employee’s employment and during the Restricted Period, Employee shall you will not, without the Company’s prior 's written consent, directly or indirectly, (A) solicit yourself or recruit for employment; on behalf of a third party, take any intentional action to solicit, recruit, hire; attempt to solicit , employ engage or recruit for employment; attempt to hire; induce or accept as an employee, consultant, contractor, or otherwise, encourage any Company employee, or (B) urge; encourage; induce; or attempt to urge, encourage, or induce, any individual who was a Company employee as of the Resignation Date to terminate his or her employment with Company; the Company and become employed or (C) otherwise interfere with the Company’s relationship with any Company employeeengaged as an owner, principal, partner, member, officer, director, consultant, agent or representative elsewhere. Notwithstanding the foregoingHowever, the provisions of this Paragraph 8.B(i) foregoing restrictions shall not apply prohibit any entity with whom you may have an employment, principal or consulting relationship (each an "Employing Entity") from (x) soliciting for employment (i) any persons who respond to a general solicitation or advertisement that is not specifically directed to Company employees or any specific group of Company employees; (ii) any persons who are referred to such Employing Entity by search firms or employment agencies; provided such search firms and after a Change in Control. ii. Employee agrees that in the event Employee, without the Company’s prior written consentemployment agencies have not been advised by you, directly or indirectly, to approach such persons; (Aiii) solicits or recruits for employment; hires; attempts to solicit or recruit for employment; attempts to hireany persons whose employment has been involuntarily terminated by the Company after the Resignation Date; or accepts (iv) your administrative assistant(s) as an employee, consultant, contractor, or otherwise, any Company employeeof the Resignation Date, or (By) urges; encourages; induces; offering employment to any of the foregoing or attempts to urge, encourage, any person who pursues such an offer without having been solicited by the Employing Entity or induce, any Company employee to terminate his or her employment with Company; or by you. (Cb) otherwise interferes You acknowledge and agree that given the role and opportunity you have enjoyed with the Company’s relationship with any Company employee during the Concluding Compensation Period, the Company shall be entitled to terminate any compensationcovenants contained in this paragraph 8 are reasonable, benefits, and/or remaining payments constitute an important part of the Termination Compensation otherwise payable Company's consideration provided to Employee you under this Agreement Agreement, and Employee forfeits such Termination Compensation. Notwithstanding the foregoing, the provisions of this Paragraph 8.B(ii) shall will not apply from and after a Change in Controlunnecessarily or unreasonably restrict your professional opportunities.
