Common use of Non-Solicitation of Customers and Vendors Clause in Contracts

Non-Solicitation of Customers and Vendors. I agree that for the term of my employment and indefinitely thereafter, I shall not, directly or indirectly use any Proprietary Information, for myself or any third party, to solicit, divert or attempt to divert from the Company (or any affiliate of it that might be formed) any business. I further agree that for a period of twenty-four (24) months following the date of my separation from the Company for any reason, with or without cause, I will not, directly or indirectly, on behalf of myself or any other person or entity, call on any customers of the Company or any of its affiliates for the purpose of soliciting and/or providing to any of said customers the same or similar services provided by the Company, nor will I, directly or indirectly, for myself or any other person or entity, solicit, divert, or take away any customer or vendor of the Company.
