Common use of Non-solicitation of Key Employees Clause in Contracts

Non-solicitation of Key Employees. For twelve (12) months following the Separation Date, Employee shall not, without the prior written consent of Corporation, encourage, cause, or solicit, or assist others in encouraging, causing, or soliciting, a Key Employee to terminate their employment with Corporation unless such Key Employee has already been terminated by the Corporation.

For twelve (12) months following the Separation Termination Date, Employee shall not, without the prior written consent of CorporationCompany, encourage, cause, or solicit, or assist others in encouraging, causing, or soliciting, a Key Employee to terminate their employment with Corporation Company to provide Key Services in competition with Company, unless such Key Employee has already been terminated by the Corporationceased employment with Company.
