Non-Solicitation Using Proprietary Information. Executive understands that Executive may not use or disclose (or threaten to use or disclose) any Proprietary Information (as defined in Executive’s PIIA) without the Company’s written consent, except for the Company’s benefit as part of Executive’s job duties. This obligation means, among other things, that Executive may not use Proprietary Information, whether directly or indirectly or on behalf of himself or others, to attempt to call on, solicit or obtain business from any actual or prospective client, customer, or business partner of the Company, other than for authorized Company business activities. This prohibition applies during and after Executive’s employment, so long as the information remains confidential.
