Under the Company's 1998 Stock Incentive Plan, as amended (the "Plan"), the Company hereby grants the Employee a non-statutory option ("NSO") to purchase from the Company thirty-seven thousand five hundred (37,500) shares of the Company's Common Stock. The exercise price of the NSO is $27.4375 per share, being the fair market value of the Company's Common Stock on the date hereof.
