Non-Survival of Representations, Warranties, Covenants and Agreements. All representations, warranties, covenants and agreements set forth in this Agreement shall terminate at the Effective Time or upon termination of this Agreement pursuant to Article X, as the case may be, except that the agreements set forth in Articles I, II and III and Sections 8.4, 8.5, 8.7, 8.10 and Article XI shall survive the Effective Time and those set forth in or referred to in Section 10.5 shall survive termination. All covenants and agreements set forth in this Agreement shall survive in accordance with their terms.
