Common use of Non-Survival of Representations Clause in Contracts

Non-Survival of Representations. Warranties and ----------------------------------------------- Agreements. The representations, warranties and agreements in this Agreement ---------- shall terminate at the Effective Time or upon the termination of this Agreement pursuant to Section 8.01, as the case may be, except that the agreements set forth in Article II and Section 6.07 shall survive the Effective Time indefinitely; the agreement set forth in Section 6.06 shall survive the Effective Time until the expiration of the applicable statute of limitations; and those set forth in Sections 6.04(b) and 8.03 shall survive termination indefinitely.

The representations, warranties and agreements in this Agreement ---------- and in any instrument delivered pursuant hereto shall terminate at the Effective Time of the Acquisition Merger or upon the termination of this Agreement pursuant to Section 8.0110.1, as the case may be, except that the agreements set forth in Article II and Section 6.07 8.6 shall survive the Effective Time indefinitely; the agreement set forth in Section 6.06 shall survive the Effective Time until the expiration of the applicable statute of limitations; Acquisition Merger and those set forth in Sections 6.04(b) 8.3, 10.3 and 8.03 this Section 11.1 shall survive termination indefinitelyof this Agreement.

The representations, warranties and agreements in this Agreement ---------- shall terminate at the Effective Time or upon the termination of this Agreement pursuant to Section 8.017.1, as the case may be, except that (i) the agreements set forth in Article II Articles I and Section 6.07 VIII and Sections 5.4, 5.6 and 5.7 shall survive the Effective Time indefinitely; indefinitely and (ii) the agreement set forth in Section 6.06 shall survive the Effective Time until the expiration of the applicable statute of limitations; and those agreements set forth in Sections 6.04(b) 5.6, 5.7, 5.23 and 8.03 7.2 and in Article VIII shall survive the termination of this Agreement indefinitely.
