Common use of Non-Use of Name Clause in Contracts

Non-Use of Name. COMPANY and its AFFILIATES and SUBLICENSEES shall not use the name of “Xxxxxxxxx Institute”, “Xxxx-Xxxxxx Cancer Institute,” or any variation, adaptation, or abbreviation thereof, or of any of their trustees, officers, faculty, students, employees, or agents, or any trademark owned by XXXXXXXXX, DFCI, or any terms of this Agreement in any promotional material or other public announcement or disclosure without the prior written consent of the relevant party, which consent such party may withhold in its sole discretion. Each of XXXXXXXXX DFCI shall not use the name of “Syros Pharmaceuticals, Inc.,” or any variation, adaptation, or abbreviation thereof, or of any of their directors, officers, employees, or agents, or any trademark owned by COMPANY, or any terms of this Agreement in any promotional material or other public announcement or disclosure without the prior written consent of the COMPANY, which consent such party may withhold in its sole discretion. The foregoing notwithstanding, without the consent of XXXXXXXXX and DFCI, COMPANY may make factual statements during the term of this Agreement that COMPANY has a license from XXXXXXXXX and DFCI under one or more of the patents and/or patent applications comprising the PATENT RIGHTS and to use the MATERIALS.

The foregoing notwithstanding, without the consent of XXXXXXXXX and DFCI, COMPANY may make factual statements during the term of this Agreement that COMPANY has a license from XXXXXXXXX and DFCI under one or more of the patents and/or patent applications comprising the PATENT RIGHTS and to use the DFCI MATERIALS.
