Nonconforming Transfers Void. Any actual or purported Transfer of all or part of the Interest of any Member that does not comply with the provisions of Section 5.4 shall be void and shall not bind the Company. The Company shall incur no liability for distributions made to any Transferor prior to compliance with Section 5.4 with respect to the Interest or portion thereof that is the subject of any such actual or purported Transfer.
