Common use of Noncontravention; Compliance with Law Clause in Contracts

Noncontravention; Compliance with Law. (a) The execution, delivery and performance of this Agreement, the Note and each of the other Related Documents in accordance with their respective terms do not and will not (i) contravene the Borrower’s authorizing legislation, (ii) require any consent or approval of any creditor of the Borrower, (iii) violate any Laws, (iv) conflict with, result in a breach of or constitute a default under any contract to which the Borrower is a party or by which it or any of its Property may be bound or (v) result in or require the creation or imposition of any Lien upon or with respect to any Property now owned or hereafter acquired by the Borrower or any Affiliate thereof except such Liens, if any, expressly created by any Related Document.

(a) The execution, delivery and performance of this Agreement, the Note Agreement and each of the other Related Bond Documents in accordance with their respective terms do not and will not and the performance of the Cooperation Agreement does not and will not (ia) contravene the BorrowerAgency’s authorizing legislationRedevelopment Plans, (iib) require any consent or approval of any creditor of the BorrowerAgency, (iiic) violate any LawsGovernmental Requirements, (ivd) conflict with, result in a breach of or constitute a default under any contract to which the Borrower Agency is a party or by which it or any of its Property may be bound or (ve) result in or require the creation or imposition of any Lien upon or with respect to any Property now owned or hereafter acquired by the Borrower Agency or any Affiliate thereof except such Liens, if any, expressly created by any Related Bond Document.
