The Nondelegation clause prohibits a party from transferring its contractual duties or responsibilities to another person or entity without prior consent. In practice, this means that if a company is hired to perform a service, it cannot outsource or assign that work to a subcontractor unless the other party agrees. This clause ensures that the party receiving the service or benefit can rely on the original contracting party's expertise and accountability, thereby preventing unwanted substitutions and maintaining quality and control over performance.
Nondelegation. The present contract can not be transferred to any person, natural or legal, without a previous agreement and the consent of the Administrator.
Nondelegation. Nondelegation. Unless specifically provided in this Consortium Agreement, the Agreement shall not be construed as a delegation of the authority by the boards of education of any member school districts, or the powers or responsibilities conferred upon them by Iowa Code. In the event that the dispute remains unresolved, the consortium shall agree upon and request a mediator knowledgeable in Iowa school district matters be appointed by the Consortium to assist in a negotiated resolution to the dispute. In the event that mediation does not resolve the dispute, it will be submitted to arbitration by a single neutral arbitrator who is knowledgeable in Iowa school district matters appointed by the Consortium.
Nondelegation. No Partner may, without the prior approval ------------- of the Partnership Committee:
(a) borrow money in the Partnership name or utilize Partnership property as security for any loans, obligate the Partnership as guarantor, endorser, surety or accommodation party, or otherwise pledge the credit of the Partnership in any way;
(b) mortgage or lease or agree to mortgage or lease any Partnership property or any interest therein, or sell, transfer, convey, exchange or agree to sell, transfer, convey or exchange any Partnership property;
(c) assign, transfer, pledge, compromise or release any of the claims of or debts due the Partnership except on payment in full;
(d) arbitrate or consent to the arbitration of any of the disputes or controversies of the Partnership;
(e) change or agree to change the terms of any contract to which the Partnership is a Partner; or
(f) engage in any other transaction on behalf of the other Partner or the Partnership.

Pursuant to the requirements of the Terrorism Risk Insurance Act of 2002, the "Act," the Insured has been provided notice that the Insured may elect to purchase coverage for loss covered under this Policy arising directly or indirectly as a result of a certified "act of terrorism" as defined by Section 102., Definitions, of the Act and any revisions or amendments thereto and the premium charge for such coverage. After receiving such notice, the Insured has elected to purchase the exception for such certified "Acts of Terrorism" to the Terrorism Exclusion. Therefore, any Terrorism Exclusion included in this Policy is deleted and replaced with the following: The Company has no obligation to make any payment or to provide or to pay for a defense under this Policy due to or arising directly or indirectly as a result of or in connection with Terrorism including but not limited to, any contemporaneous or ensuing loss caused by fire, looting, or theft. Terrorism means the use or threatened use of force or violence against person or property, or commission of an act dangerous to human life or property, or commission of an act that interferes with or disrupts an electronic or communication system, undertaken by any person or group, whether or not acting on behalf of or in connection with any organization, government, power, authority or military force, when the effect is to intimidate, coerce or harm a government, the civilian population or any segment thereof, or to disrupt any segment of the economy. This exclusion does not apply to a certified "Act of Terrorism" defined by Section 102. Definitions, of the Terrorism Risk Insurance Act of 2002 and any revisions or amendments. The following Section 102 definition of "Act of Terrorism" from the Terrorism Risk Insurance Act of 2002 applies to this exception:
