Nondisclosure Agreements. The Company shall require all persons now or hereafter employed by the Company or any subsidiary that have access to confidential and proprietary information of the Company or any subsidiary to enter into agreements containing nondisclosure and assignment of invention provisions in form and substance acceptable to Essex Woodlands Health Ventures Fund VII, L.P. (“Essex”). The Company shall require all consultants now or hereafter hired, consulted or retained by the Company or any subsidiary that have access to confidential and proprietary information of the Company or any subsidiary to enter into agreements containing nondisclosure provisions.
