Common use of Nondisparagment Clause in Contracts

Nondisparagment. The Executive agrees not to make negative comments or otherwise disparage the Company or its officers, directors, employees, stockholders, agents or products other than in the good faith performance of the Executive’s duties to the Company while the Executive is employed by the Company. The foregoing shall not be violated by truthful statements in response to legal process, required governmental testimony or filings (including, without limitation, filings or submissions to the Securities and Exchange Commission (the “SEC”), or administrative or arbitral proceedings (including, without limitation, depositions in connection with such proceedings).

Nondisparagment. The Executive agrees shall not make or induce other persons or entities to make any negative comments statements as to the Company, its affiliates, employees, past or otherwise disparage the Company or its present officers, directors, employeesproducts, stockholdersservices, agents businesses or products other than reputation. Notwithstanding the foregoing, truthful statements made in the good faith performance course of the Executive’s duties to the Company while the Executive is employed by the Company. The foregoing shall not be violated by truthful statements sworn testimony in response to legal processadministrative, required governmental testimony or filings (including, without limitation, filings or submissions to the Securities and Exchange Commission (the “SEC”), or administrative judicial or arbitral proceedings (including, without limitation, depositions in connection with such proceedings) shall not be subject to this Section 12(d).
