Common use of Nonsolicitation of Employees Clause in Contracts

Nonsolicitation of Employees. During the Term and for a period of two years following the termination of the Executive's employment with the Company, the Executive shall not directly or indirectly, for himself or for any other person, firm, corporation, partnership, association or other entity, attempt to employ or enter into any contractual arrangement, directly or indirectly, with any employee of the Company or any person who was an employee of the Company at any time during the six month period immediately prior to the Executive's termination and whose employment with the Company was terminated by the Company.

Nonsolicitation of Employees. During the Term term of the Executive’s employment with the Company and for a period of two years twelve (12) months following the termination of the Executive's ’s employment with the CompanyCompany for any reason whatsoever, the Executive shall not directly not, either on his or indirectly, for himself her own account or for any other person, firm, partnership, corporation, partnershiplimited liability company, association or other entity, attempt to employ or enter into any contractual arrangement, directly or indirectly, with entity within the Territory; (a) solicit any employee of the Company to leave his or any person who was an employee of the Company at any time during the six month period immediately prior to the Executive's termination and whose her employment with the Company was terminated by Company; or (b) induce or attempt to induce any such employee to breach his or her employment agreement with the Company.

Nonsolicitation of Employees. During the Term term of Executive's employment with the Company and for a period of two years following twelve (12) months from the voluntary or involuntary termination of the Executive's employment with the CompanyCompany for any reason whatsoever, the Executive shall not directly not, either on her or indirectly, for himself his own account or for any other person, firm, partnership, corporation, partnership, association or other legal entity: a. Solicit, attempt interfere with, or endeavor to employ or enter into any contractual arrangement, directly or indirectly, with cause any employee of the Company to leave his or her employment; or b. Induce or attempt to induce any person who was an such employee of the Company at any time during the six month period immediately prior to the Executive's termination and whose breach her or his employment agreement with the Company was terminated by the Company.

During the Term term of the Executive’s employment with the Company and for a period of two years twelve (12) months following the termination of the Executive's ’s employment with the CompanyCompany for any reason whatsoever, the Executive shall not directly or indirectlynot, for himself either on his own account or for any other person, firm, partnership, corporation, partnershiplimited liability company, association or other entity, attempt to employ or enter into any contractual arrangement, directly or indirectly, with entity within the Territory; (a) solicit any employee of the Company or any person who was an employee of the Company at any time during the six month period immediately prior to the Executive's termination and whose leave his employment with the Company was terminated by Company; or (b) induce or attempt to induce any such employee to breach his employment agreement with the Company.

During the Term and for For a period of two years eighteen (18) months following the termination of the Executive's ’s employment with the Company, for any reason, the Executive shall not directly or indirectly, for himself or for any other person, firm, corporation, partnership, association or other entity, attempt to employ or enter into any contractual arrangementwill not, directly or indirectly, with induce any employee of the Company or any of its subsidiaries to terminate employment with such entity, and shall not, directly or indirectly, either individually or as owner, agent, employee, consultant, or otherwise, employ or offer employment to any person who is or was an employee of employed by the Company at any time during the six month period immediately prior to the Executive's termination and whose employment with the Company was terminated by the Companyor a subsidiary thereof.

Nonsolicitation of Employees. During the Term and Executive agrees that for a period of two years 12 months following the termination of the Executive's his employment with the Company, the Executive shall not directly or indirectly, for himself or for any other person, firm, corporation, partnership, association or other entity, attempt to employ or enter into any contractual arrangementwill not, directly or indirectly, with (i) induce or solicit any employee person who was an employee, consultant or independent contractor of the Company or any person who was an employee of the Company at any time during the six month period immediately prior its Affiliates, to the Executive's termination and whose terminate such individual’s employment or service with the Company was terminated by the Companyor any of its Affiliates or (ii) assist any other person or entity in such activities.

Nonsolicitation of Employees. During the Term and for a period of two years following the any termination of this Agreement, other than a termination by the Executive's employment with Executive for Good Reason (as hereinafter defined) or a termination by the CompanyCompany without Cause (as hereinafter defined), the Executive shall not directly or indirectly, for himself or for any other person, firm, corporation, partnership, association or other entity, attempt to employ or enter into any contractual arrangement, directly or indirectly, arrangement with any employee of the Company or any person who was an former employee of the Company at any time during the six month period immediately prior to the Executive's termination and whose employment with Company, unless such employee or former employee has not been employed by the Company was terminated by the Companyfor a period in excess of six months.

Nonsolicitation of Employees. During the Term and Executive’s employment with the Company and, then for a period of two years following the twenty-four (24) months after termination of the Executive's employment with the Companythereof, the Executive shall not directly or indirectly, for himself or for any other person, firm, corporation, partnership, association or other entity, attempt to employ or enter into any contractual arrangement, directly or indirectly, with any employee without the prior written consent of the Company Company, solicit, induce or otherwise offer employment or engagement as an independent contractor to, or engage in discussions regarding employment or engagement as an independent contractor with, any person who was served as an employee of employee, commissioned salesperson or consultant of, or who performed similar services for, the Company at any time during the six month period immediately prior to the Executive's termination and whose ’s employment with the Company was terminated by prior to or during the CompanyExecutive’s period of employment.

During the Term term of Executive’s employment with the Company and for a period of two years 12 months following the date of termination of the Executive's ’s employment with the Companyfor any reason whatsoever, the Executive shall not directly or indirectlywill not, for himself either on his own account or for any other person, firm, partnership, corporation, partnershiplimited liability company, association or other entity, attempt to employ or enter into any contractual arrangement, directly or indirectly, with ; (a) solicit any employee of the Company to leave his or any person who was an employee of the Company at any time during the six month period immediately prior to the Executive's termination and whose her employment with the Company was terminated by (or any of its affiliates); or (b) induce or attempt to induce any such employee to breach his or her employment arrangements with the CompanyCompany (or any of its affiliates).
