Common use of Nonsurvival of Representations, Warranties and Covenants Clause in Contracts

Nonsurvival of Representations, Warranties and Covenants. None of the representations or warranties contained in this Agreement or in any certificate or other instrument delivered pursuant to this Agreement shall survive the Effective Time. The covenants and agreements contained herein shall survive in accordance with their respective terms.

Nonsurvival of Representations, Warranties and Covenants. None of the representations or warranties contained representations, warranties, covenants and agreements in this Agreement or in any instrument, document or certificate or other instrument delivered pursuant to this Agreement shall survive the termination of this Agreement or the Effective Time. The Time and all such representations, warranties, covenants and agreements shall expire upon the occurrence of the Effective Time (or earlier termination of this Agreement), except for those covenants and agreements contained herein shall survive and therein which by their terms expressly apply in accordance with their respective termswhole or in part after the Effective Time and then only to such extent.

The None of the covenants and or agreements contained herein of the parties in this Agreement will survive the Effective Time; provided that this Section 9.01 shall survive in accordance with their respective termsnot limit Section 8.02 or any covenant or agreement of the parties which by its terms contemplates performance after the Effective Time.
