It is understood by all parties hereto that, except as expressly provided herein, amounts paid and benefits provided hereunder are not to be considered compensation, earnings or wages for purpose of any employee benefit plan of the Company or its affiliates, including, but not limited to, the SERP and the qualified retirement plans.
