To mitigate the parties’ risk, Contractor agrees to keep a current copy of the source code for Products in escrow under an agreement substantially in the form of Exhibit F (Escrow Agreement). Contractor agrees to keep such escrowed source code updated when an Upgrade (defined in Paragraph 43, “Maintenance”) is issued by Contractor. Escrow may be optional to District. The Escrow Agreement will include the following items:
