Note Insurer Approval of Changes in Terms of Notes or Indenture. (a) So long as the Note Guaranty Insurance Policy is in effect, no supplemental Indenture shall be made without the prior written approval of the Note Insurer. (b) Except as expressly set forth herein, so long as no Note Insurer Default has occurred and is continuing, no Class A Noteholder shall exercise any option, vote, right, power or the like required or permitted by the Class A Notes or this Indenture without first obtaining the prior written approval of the Note Insurer.
