NOTE OBLIGATION SECURED. This Note has been issued under that certain Custody Agreement, dated as of April 1, 2002 (the "Agreement"), which Agreement provides for the deposit of certain assets of the Corporation with a custodian as collateral which partially secures the repayment of the obligations of the Corporation represented by the Secured Promissory Notes - First Series. All of the covenants, conditions and agreements contained in such Agreement are hereby made a part of this instrument.
