The "Notes Non-negotiable" clause establishes that any promissory notes or similar debt instruments issued under the agreement cannot be transferred, assigned, or sold to third parties through negotiation. In practice, this means that the holder of the note cannot endorse or deliver it to another party in a way that would give the new holder the rights of a bona fide purchaser. This clause is primarily used to maintain control over who holds the debt and to prevent the obligations from being transferred without the issuer's consent, thereby reducing the risk of dealing with unknown or undesirable creditors.

  • Warehouse Receipts Non-Negotiable To the extent practicable, each Assignor agrees that if any warehouse receipt or receipt in the nature of a warehouse receipt is issued with respect to any of its Inventory, such Assignor shall request that such warehouse receipt or receipt in the nature thereof shall not be “negotiable” (as such term is used in Section 7-104 of the Uniform Commercial Code as in effect in any relevant jurisdiction or under other relevant law).

Upon the transfer, exchange or replacement of Notes bearing a Restricted Notes Legend, the Registrar shall deliver only Notes that bear a Restricted Notes Legend unless (1) an Initial Note is being transferred pursuant to an effective registration statement, (2) Initial Notes are being exchanged for Notes that do not bear the Restricted Notes Legend in accordance with Section 2.6(e) or (3) there is delivered to the Registrar an Opinion of Counsel reasonably satisfactory to the Company to the effect that neither such legend nor the related restrictions on transfer are required in order to maintain compliance with the provisions of the Securities Act. Any Additional Notes sold in a registered offering shall not be required to bear the Restricted Notes Legend.
