Subject to the terms hereof, upon Upon surrender of a Note that is redeemed in part, the Issuers shall executeissue and, and upon receipt of a Written Order in accordance with Section 2.02 hereof, the Trustee or an authentication agent shall authenticate, certify for the Holder (at the Issuers’ expense) expense of the Issuers a new Note of the same series equal in principal amount to the unredeemed portion of the Note surrendered.

Subject to the terms hereof, upon Upon surrender of a Note that is redeemed in part, the Issuers Issuer shall execute, execute and the Trustee or Trustee, upon an authentication agent Issuer Order and receipt of the deliverables required hereunder, shall authenticate, authenticate for the Holder (at the Issuers’ Issuer’s expense) a new Note of the same series equal in principal amount to the unredeemed portion of the Note surrendered.

Subject to the terms hereof, upon Upon surrender of a Note in the form of a certificated note that is redeemed in part, the Issuers Issuer shall executeissue and, and upon the Issuer’s written request, the Trustee or an authentication agent shall authenticate, authenticate for the Holder (at the Issuers’ expense) expense of the Issuer, a new Note of the same series equal in principal amount to the unredeemed portion of the Note surrendered.

Notes Redeemed in Part. Subject to the terms hereof, upon Upon surrender of a Note that which ---------------------- is to be redeemed in part, the Issuers shall execute, and the Trustee or an authentication agent shall authenticate, authenticate and make available for delivery to the Holder (of such Note at the expense of the Issuers’ expense) , a new Note or Notes, of the same series equal any authorized denomination as requested by such Holder, in an aggregate principal amount equal to and in exchange for the unredeemed portion of the principal of the Note so surrendered, provided, that each such new Note will be in a principal amount of $1,000 or integral multiple thereof.
