Common use of Notes Sold Pursuant to Rule 144A Clause in Contracts

Notes Sold Pursuant to Rule 144A. The Notes offered and sold in their initial distribution in reliance on Rule 144A to Qualified Institutional Buyers shall be issued in the form of a permanent global note (the “Restricted Global Note”) (which may be represented by more than one certificate, if so required by the Depositary’s rules regarding the maximum principal amount to be represented by a single certificate), duly executed by the Company and authenticated by the Trustee as hereinafter provided. The Restricted Global Note shall be registered in the name of the Depositary or its nominee and deposited with the Trustee, at its Corporate Trust Office, as custodian for the Depositary on behalf of the purchasers of the Notes represented thereby.
