Notice by the Executive. This Agreement may be terminated by ----------------------- the Executive upon ninety (90) days written notice, provided that: (A) a termination by the Executive in the event the Company shall fail to continuously comply, both in form and substance, with each and every of the "assumed conditions of service" as defined in Section 3(c) above shall be deemed a termination by the Company under Section 10(a)(ix) below, and (B) a termination by the Executive during the thirty day period immediately following the one year anniversary of a "change in control" of the Company (as defined in Section 3(f)) shall be deemed a termination by the Company under Section 10(a)(ix) below.
