Common use of Notice Claim Clause in Contracts

Notice Claim. The Purchaser, on the one hand, and the Seller, on ------------- the other hand, shall promptly notify the other of any claim, suit or demand of which the notifying party has actual knowledge which entitles it to indemnification hereunder, provided, however, that the delay or failure of any party required to provide such notification shall not affect the liability of the indemnifying party hereunder except to the extent the indemnifying party is harmed by such delay or failure.
