In addition, Indemnitee shall give the Company such information and cooperation as it may reasonably require and as shall be within Indemnitee's ’s power.

Notice to the Company Corporation shall be directed to the Chief Executive Officer of the Company Corporation at the address shown on the signature page of this Agreement (or such other address as the Company Corporation shall designate in writing to Indemnitee). In addition, Indemnitee shall give the Company Corporation such information and cooperation as it may reasonably require and as shall be within Indemnitee's Indemnitees’ power.

In addition, Indemnitee shall give the Company such information and cooperation as it may reasonably require and as shall be within Indemnitee's power.

Notice/Cooperation by Indemnitee. Each Indemnitee shall, as a condition precedent to such Indemnitee's ’s right to be indemnified or Indemnitee's ’s right to receive Expense Advances under this Agreement, give the Company notice in writing as soon as practicable of any Claim made against such Indemnitee for which indemnification will or could be sought under this Agreement. Notice to the Company shall be directed to the Chief Executive Officer of the Company at the address shown on the signature page of this Agreement (or such other address as the Company shall designate in writing to Indemnitee). In addition, such Indemnitee shall give the Company such information and cooperation as it may reasonably require and as shall be within Indemnitee's ’s power.

Notice/Cooperation by Indemnitee. Indemnitee shall, as a condition precedent to Indemnitee's right to be indemnified or Indemnitee's right to receive Expense Advances and to be indemnified for Losses under this Agreement, give the Company notice in writing as soon as practicable of any Claim made against Indemnitee relating to an Indemnifiable Event for which a request for Expense Advance or for which indemnification for Losses will or could be sought under this Agreement. Notice to the Company shall be directed to the Chief Executive Officer of the Company at the address shown on the signature page of this Agreement (or such other address as the Company shall designate in writing to Indemnitee). In addition, Indemnitee shall give the Company such information and cooperation as it may reasonably require and as shall be within Indemnitee's power.

Notice to the Company Corporation shall be directed to the Chief Executive Officer of the Company Corporation at the address shown on the signature page of this Agreement (or such other address as the Company Corporation shall designate in writing to Indemnitee). In addition, Indemnitee shall give the Company Corporation such information and cooperation as it may reasonably require and as shall be within Indemnitee's ’s power.

In addition, Indemnitee shall give the Company such information and cooperation as it may reasonably require and as shall be within Indemnitee's ’s power.

In addition, Indemnitee shall give the Company such information and cooperation as it may reasonably require and as shall be within Indemnitee's Indemnitees’ power.

Indemnitee shall, as a condition precedent to Indemnitee's right to be indemnified or Indemnitee's right to receive Expense Advances under this Agreement, shall give the Company notice in writing as soon as practicable of the commencement of, or the threat of commencement of, any Claim claim made against Indemnitee for which indemnification will or could be sought under this Agreement. Notice to the Company shall be directed to the Chief Executive Officer and to the Chair of the Audit Committee of the Company at the address shown on the signature page of this Agreement (or such other address as the Company shall designate in writing to Indemnitee). In addition, Indemnitee shall give the Company such information and cooperation as it the Company may reasonably require and as shall be within Indemnitee's ’s power. The omission to so notify the Company will not relieve the Company from any liability that it may have to the Indemnitee under this Agreement or otherwise.

Indemnitee shall, as a condition precedent to Indemnitee's ’s right to be indemnified or Indemnitee's right to receive Expense Advances under this Agreement, give the Company notice in writing as soon as practicable of any Claim claim made against Indemnitee for which indemnification will or could be sought under this Agreement. In addition, Indemnitee shall give the Company such information and cooperation as it may reasonably require and as shall be within Indemnitee's ’s power.

The Indemnitee shall, as a condition precedent to the Indemnitee's ’s right to be indemnified or the Indemnitee's ’s right to receive Expense Advances under this Agreement, give the Company notice in writing as soon as practicable of any Claim made against the Indemnitee for which indemnification will or could be sought under this Agreement. Notice to the Company shall be directed to the Chief Executive Officer of the Company at the address shown on the signature page of this Agreement (or such other address as the Company shall designate in writing to the Indemnitee). In addition, the Indemnitee shall give the Company such information and cooperation as it may reasonably require and as shall be within the Indemnitee's ’s power.

Notice/Cooperation by Indemnitee. Indemnitee shall, as a condition precedent to Indemnitee's ’s right to be indemnified or Indemnitee's right to receive Expense Advances under this Agreement, give the Company notice in writing as soon as practicable of any Claim made against Indemnitee for which indemnification will or could be sought under this Agreement. In addition, Indemnitee shall give the Company such information and cooperation as it may reasonably require and as shall be within Indemnitee's ’s power.

Notice/Cooperation by Indemnitee. Indemnitee shall, as a condition precedent to Indemnitee's right to be indemnified or Indemnitee's right to receive Expense Advances under this Agreement, shall give the Company notice in writing as soon as practicable of any Claim made against Indemnitee for which indemnification will or could be sought under this Agreement; provided, that the omission to so notify the Company will not relieve the Company from any liability that it otherwise may have to Indemnitee under this Agreement. Notice to the Company shall be directed to the Chief Executive Officer General Counsel of the Company at the address shown on the signature page of this Agreement (or such other address as the Company shall designate in writing to Indemnitee). In addition, Indemnitee shall give the Company such information and cooperation as it may reasonably require and as shall be within Indemnitee's ’s power.

In addition, Indemnitee shall give the Company such information and cooperation regarding such Proceeding or threatened Proceeding as it may reasonably require and as shall be within Indemnitee's power.

In addition, Indemnitee shall give the Company Corporation such information and cooperation as it may reasonably require and as shall be within Indemnitee's power.

In addition, Indemnitee shall give the Company such information and cooperation as it may reasonably require and as shall be within Indemnitee's ’s power.

Indemnitee shall, as a condition precedent to Indemnitee's right to be indemnified or Indemnitee's right to receive Expense Advances under this Agreement, give the Company Companies notice in writing as soon as practicable of any Claim made against Indemnitee for which indemnification will or could be sought under this Agreement. Notice to the Company Companies shall be directed to the Parent Company's Chief Executive Officer of the Company at the address shown on the signature page of this Agreement (or such other address as the Company Companies shall designate in writing to Indemnitee). In addition, Indemnitee shall give the Company Companies such information and cooperation as it they may reasonably require and as shall be within Indemnitee's power.

Notice/Cooperation by Indemnitee. Indemnitee shall, as a condition precedent to Indemnitee's ’s right to be indemnified or Indemnitee's right to receive Expense Advances under this Agreement, give the Company notice in writing as soon as practicable of any Claim made against Indemnitee for which indemnification will or could be sought under this Agreement. In addition, Indemnitee shall give the Company such information and cooperation as it may reasonably require and as shall be within Indemnitee's ’s power; provided, however, the Indemnitee shall be able to limit such information and such cooperation to the extent necessary to protect the Indemnitee’s Fifth Amendment rights in a criminal proceeding.

Notice to the Company shall be directed given in the manner set forth in Section 10.3 hereof and to the Chief Executive Officer of the Company at the address shown on the signature page of this Agreement (stated therein, or such other address as the Company shall designate in writing to Indemnitee). In addition, Indemnitee shall give the Company such information and cooperation as it may reasonably require and as shall be within Indemnitee's ’s power.
