Notice of a Change in Control. The Hospital shall notify CMS and the State in writing at least 90 days prior to any proposed Change in Control. After review of such notice, CMS or the State may terminate this Agreement or take one or more actions set forth in section 15.4 to address program integrity vulnerabilities or other concerns regarding the proposed Change in Control. CMS and the State shall use reasonable efforts to review the notice of Change in Control within 30 days.
