Each Principal Holder shall notify Parent as promptly as practicable (and in any event within two (2) Business Days after receipt) in writing of the number of any additional shares of Common Stock, Company Equity Awards or other securities of the Company of which such Principal Holder acquires Beneficial Ownership on or after the date hereof, other than shares of Common Stock issued pursuant to the exercise, vesting and/or payment of Company Equity Awards.
