Notice of Certain Defaults or Claims. Each party shall give prompt notice to the other of any notice of default relating to either party received subsequent to the date of this Agreement and prior to the Closing Date and of the assertion of any claim which, if upheld, or the occurrence of any event, which would render inaccurate any representation or warranty of the affected party.
